These Terms of Service (“Terms”) govern your use of ScopeSnap (“we”, “our”, or “us”) and the ScopeSnap web application and related services (the “Service”).
By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.
If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity.
2. Description of Service
ScopeSnap is a software-as-a-service platform that assists teams in organizing, analyzing, and structuring project scope during early discovery and estimation.
The Service may use artificial intelligence to generate suggestions, breakdowns, and structured outputs based on user-provided content.
3. User Accounts
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Ensuring your account information is accurate
You must notify us immediately of any unauthorized access to your account.
4. User Content
You retain ownership of any content you submit to the Service, including project data, documents, notes, and scope items (“User Content”).
By submitting User Content, you grant us a limited, non-exclusive license to use, process, store, and display such content solely to provide and improve the Service.
You represent and warrant that:
- You have the necessary rights to upload the content
- The content does not violate any laws or third-party rights
5. AI-Generated Output Disclaimer
The Service may generate outputs using artificial intelligence.
You acknowledge and agree that:
- AI-generated outputs may be incomplete, inaccurate, or inappropriate
- You are solely responsible for reviewing and validating outputs
- ScopeSnap does not guarantee the correctness, completeness, or suitability of AI-generated content
The Service is intended to assist professional judgment, not replace it.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes
- Upload malicious code or harmful content
- Attempt to reverse engineer, decompile, or exploit the Service
- Interfere with system integrity or security
- Use the Service to violate intellectual property rights
We reserve the right to suspend or terminate accounts that violate these rules.
7. AI Usage and Fair Use Policy
ScopeSnap includes AI-powered features that rely on third-party large language model providers.
To ensure fair access and system stability, your use of AI features must remain reasonable and consistent with normal professional usage of the Service.
You agree not to:
- Use the Service as a general-purpose AI proxy or bulk processing tool
- Automate or script excessive requests through the interface
- Submit unusually large volumes of content solely to generate AI responses
- Attempt to bypass technical safeguards or usage limits
We reserve the right to monitor AI usage patterns.
If your usage exceeds what we determine, in our sole discretion, to be reasonable for your subscription tier, we may:
- Throttle or temporarily restrict access
- Require an upgrade to a higher tier
- Suspend or terminate your account
We are not obligated to provide unlimited AI processing under any subscription plan unless explicitly stated.
8. Fees and Billing
If you purchase a paid subscription:
- Fees are billed in advance on a recurring basis
- All payments are processed via Stripe
- Fees are non-refundable except where required by law
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.
We reserve the right to change pricing with reasonable notice.
9. Intellectual Property
The Service, including its software, design, branding, and content (excluding User Content), is owned by ScopeSnap and protected by intellectual property laws.
You may not copy, modify, distribute, or create derivative works from the Service without our written permission.
10. Service Availability
We strive to maintain reliable access to the Service but do not guarantee uninterrupted availability.
We may modify, suspend, or discontinue features at any time.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
We disclaim all warranties including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
We do not warrant that the Service will be error-free or uninterrupted.
12. Limitation of Liability
To the maximum extent permitted by law:
ScopeSnap shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability arising out of or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless ScopeSnap from any claims, damages, or expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your User Content
14. Termination
We may suspend or terminate your access to the Service at our discretion if you violate these Terms.
You may terminate your account at any time by cancelling your subscription.
15. Governing Law
These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
Any disputes shall be resolved in the courts located in Ontario, Canada.
16. Changes to These Terms
We may update these Terms from time to time.
We will update the “Last Updated” date when changes are made.
Continued use of the Service constitutes acceptance of the revised Terms.
